Diversity in the Boardroom: NASDAQ Rule Implementation Update

In this Coffee Chat, we will discuss Nasdaq’s SEC-approved Board Diversity Rule which requires companies listed on its U.S. exchange to address board diversity. The progressive rule imposes significant new requirements on most Nasdaq-listed companies to have at least two diverse directors, including one who self-identifies as female and one who self-identifies as either an underrepresented minority or LGBTQ+, or to explain any diversity deficiencies by next year.

Topics include:

  • Rule overview and requirements for issuers to address board diversity and related implementation deadlines.
  • Public disclosure requirements of board-level diversity statistics by August 2022.
  • Explore statistical support for diversity board efforts and governance issues.
  • Strategies for new rule compliance.

Presenters:

Marc B. Minor, Senior Counsel, Thompson Hine
Dina Tantra, Attorney, Corporate Board Member
