A recent court decision in the Southern District of New York marks the first time a court has squarely addressed the question of whether a syndicated loan is a security. Thompson Hine attorneys Tarnetta Jones, Mendy Piekarski, Renee Zaytsev, and Anna Stark say the decision, holding that the syndicated loan at issue is not a security, is an important win for the syndicated loan industry but urge caution due to the fact-specific nature of the ruling.
